Terms of Use and Disclaimer

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS (THE "TERMS") WHICH CONSTITUTE THE AGREEMENT BETWEEN YOU OR ANY ENTITY ON WHOSE BEHALF YOU ACCESS OR USE THE FEATURES DESCRIBED HEREIN ("USER" OR "YOU"), AND BLOCKSPACE, AN EXEMPTED COMPANY INCORPORATED IN THE CAYMAN ISLANDS ("BLOCKSPACE"). EXCEPT AS SET OUT IN SECTION XIV.A (SEPARATE AGREEMENTS), THIS AGREEMENT REPRESENTS THE ENTIRE AGREEMENT CONCERNING THE FEATURES BETWEEN THE PARTIES AND IT SUPERSEDES ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING BETWEEN THE PARTIES. BLOCKSPACE AND USER ARE HEREINAFTER JOINTLY DEFINED AS THE "PARTIES" OR INDIVIDUALLY A "PARTY".

These Terms of Use (as amended or supplemented from time to time, these "Terms") explain the terms and conditions by which you may access and/or use Blockspace's website, blockspace.forum, and the research, articles, educational materials, event summaries, videos, data, tools, software, documentation, projects, and other online properties made available through it (collectively, "Features") provided by Blockspace ("Blockspace," "we," "us," or "our").

The Blockspace Forum (the "Forum") is an open community of teams and individuals working to improve Ethereum's transaction and block construction pipeline. Blockspace operates the website and contributes to the Forum's research and events alongside the Forum's other participants. Participating in the Forum, attending a Forum event or contributing to Forum research does not make you a partner, agent or representative of Blockspace or of any other participant.

All access and use of the Features is subject to these Terms. By accessing or otherwise using the Features, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept the terms and conditions of these Terms, you will not access, browse, or otherwise use the Features.

Blockspace reserves the right, at its sole discretion, to change, update, or modify portions of these Terms at any time. Blockspace will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. Your continued use of the Features after the date any such changes become effective constitutes your acceptance of the new Terms. Revised Terms do not apply to any dispute that arose before they were posted. You should periodically visit this page to review the current Terms, so you are aware of any revisions. If you do not agree to abide by these or any future Terms, you will not access, browse, or use (or continue to access, browse, or use) the Features.

IMPORTANT NOTICE: PLEASE READ SECTION II (INFORMATIONAL CONTENT ONLY; NO ADVICE) AND SECTION VI (LIMITATION OF LIABILITY) CAREFULLY. THEY LIMIT WHAT YOU CAN RELY ON AND WHAT YOU CAN RECOVER FROM BLOCKSPACE.

I. Use of Features

A. Eligibility

In order to be eligible to access and use the Features, you represent and warrant that:

  1. You are at least eighteen (18) years old and capable of forming a binding legal relationship with Blockspace.
  2. You have the requisite capacity, power, and authority to accept these Terms and to carry out and perform your obligations under these Terms. These Terms constitute a legal, valid, and binding obligation enforceable against you in accordance with these Terms.
  3. You are not and must not be under any sanctions imposed or enforced by any relevant national or international authority, nor are you listed, or owned or controlled by a person listed, on any roster of prohibited or restricted entities, inclusive of, but not limited to, those maintained by the United Nations Security Council, the United States' Office of Foreign Assets Control (OFAC), the United Kingdom, the European Union or the Cayman Islands.
  4. You understand that certain jurisdictions are restricted from accessing the Features. These jurisdictions include Cuba, Democratic People's Republic of Korea, Iran, or the following Russian-occupied regions: Crimea, Donetsk, and Luhansk. You are not located in, organized under the laws of, or ordinarily resident in, any restricted jurisdiction. You understand that this list of restricted jurisdictions may be updated from time to time at Blockspace's discretion.

B. Prohibited Activity

You agree to use the Features for its intended purpose and will not engage in, or attempt to engage in:

  1. Hacking, gaining unauthorized access or introducing any kind of malicious code to it;
  2. Reverse engineer or decompile (whether whole or in part) any software available through it that exceeds the terms of the designated Open Source License;
  3. Making copies, modify, reproduce, transmit, alter or distribute all or any part of the Features or any material information contained in it that exceeds the terms of the designated Open Source License or other applicable license;
  4. Use them for any purpose that is unlawful;
  5. Using, or allowing restricted persons to use, a virtual private network (e.g., a VPN) or other means to inappropriately/evasively access it;
  6. Use them in any manner that disrupts their operation;
  7. Falsely stating or implying that you are affiliated with, or endorsed by, Blockspace, the Forum or any contributor; or
  8. Removing or altering any copyright, license or attribution notice in the Features, except as the applicable license permits.

C. Third Party Services and Content

By using the Features, you may also be using the resources, including products, services or content and links of one or more third parties, such as GitHub (which hosts the website), YouTube, X, Ethereum Research (ethresear.ch) and community tools and dashboards (collectively, "Third Party Services"). Third Party Services are provided for your convenience only and the availability of Third Party Services does not constitute an endorsement by Blockspace of the same. Third Party Services are not under Blockspace's control and, as such, are not considered part of our Features. Blockspace makes no representation or warranty regarding any Third Party Service, including its availability, security, or suitability for use with or in conjunction with Blockspace's Features. Any proprietary right or interest to any Third Party Service and any content provided therein belongs to that third party provider subject to any right or license you may hold to such Third Party Service. If you decide to access or use a Third Party Service, your activity is governed by the Third Party Service's terms and conditions, not by those of Blockspace. This includes all terms and policies that govern your use of GitHub, the website which hosts our Features.

Tools, dashboards, clients and other software listed in the Features are listed for information only. A listing is not an endorsement, audit, security review or recommendation. Some listed tools are developed or operated by organizations affiliated with Blockspace or with Forum contributors.

D. Forum Events

Attendance at Forum workshops, meetings and other events is subject to any registration terms, code of conduct and rules announced for that event.

II. Informational Content Only; No Advice

A. Informational Purposes

The research, articles, educational materials, event summaries, videos, data and other content included in the Features (the "Content") are provided for general informational and educational purposes only.

B. No Advice

Nothing in the Content is investment, financial, trading, legal, tax, accounting or other professional advice, or a recommendation to acquire, sell, stake, delegate or hold ETH or any other digital asset, or to use any particular infrastructure, service provider, protocol or software. You should obtain advice from your own qualified advisors before making any decision.

C. No Offer

Nothing in the Features is an offer or solicitation to buy or sell any security, digital asset or other investment, including any interest in Blockspace, or an offer of staking, validator, delegation or other services. Blockspace provides its services only under separate written agreements.

D. Accuracy and Currency

Research and market data in this field change quickly. The Content might contain errors or omissions, might rely on data provided by third parties that Blockspace has not independently verified, and might become out of date. Proposals, designs and specifications described in the Content are at the research stage and might not be implemented or perform as described. Blockspace has no obligation to update or correct any Content.

E. Forward-Looking Statements

Statements in the Content about future events, including protocol upgrades and their timing, adoption of mechanisms, market structure and network performance, reflect the author's expectations and assumptions at the time of writing. Actual outcomes might differ materially.

F. Views of Authors and Speakers

Content attributed to an author, speaker or panelist reflects that person's own views and not necessarily the views of Blockspace, the Forum's other participants or that person's employer. Event summaries describe discussions in general terms. An event summary does not record any agreement or commitment by any participant, and no participant is bound to adopt any mechanism, design or practice described in it.

G. Commercial Interests

Blockspace is a for-profit company. Some authors of the Content and some speakers at Forum events are shareholders, directors, officers, employees or contractors of Blockspace, or work for organizations that operate relays, block builders, validators or other infrastructure described in the Content. Blockspace, those individuals and those organizations might benefit commercially if mechanisms, designs, specifications or tools described in the Content are adopted. You should take those interests into account when you read the Content.

H. Operational Risk

Relay, block builder, validator, sidecar and other infrastructure software can cause missed slots, lost rewards, penalties, slashing, failed or delayed transactions and loss of digital assets if it is defective, misconfigured or operated incorrectly. If you download, deploy or operate any software described in or made available through the Features, you are solely responsible for reviewing, testing, auditing, configuring, securing and operating it, including safeguarding any private keys, signing keys and withdrawal credentials.

I. No Reliance

Blockspace does not assume any responsibility or duty of care to you regarding the Content. You are solely responsible for any decision you make, and for any action you take or decline to take, based on the Content.

III. Intellectual Property

A. Ownership

All rights to the Features are either the property of Blockspace or its licensors, are open source software, or are Third-Party Content (as defined in Section III.E). Except for open source software and Third-Party Content, any existing intellectual property rights in the Features, such as copyrights, trademark rights and other intellectual property rights, are the exclusive property of Blockspace or its licensors.

B. Open Source Software

Software, code and specifications made available by Blockspace or the Forum, including in the repositories of the blockspace-forum organization on GitHub, are licensed under the license identified in the relevant repository or file (the "Open Source License"). Your use of that software, code or specification is governed by the applicable Open Source License. If these Terms conflict with an Open Source License regarding that software, code or specification, the Open Source License prevails, and nothing in these Terms restricts any right granted to you by an Open Source License.

C. Contributions

If you submit code, documentation or other material to a Forum repository, your submission is governed by the license and any contributor agreement identified in that repository.

D. License to Content

Unless otherwise marked, Content that Blockspace owns is licensed to you under the Creative Commons Attribution 4.0 International license. You may share and adapt that Content for any purpose, including commercially, if you give appropriate credit to the Blockspace Forum, provide a link to the license and indicate whether you made changes.

E. Third-Party Content

Some Content is owned by third parties, including research co-authored by individuals outside Blockspace, recordings of talks given by third-party speakers, and third-party names, logos, data and tools ("Third-Party Content"). Third-Party Content is used with permission or as otherwise permitted by law, remains the property of its owners, and is not licensed to you under Section III.D.

F. Trademarks

"Blockspace", "Blockspace Forum", the Blockspace Forum logo and related names and logos are trademarks of Blockspace. No Open Source License or content license grants you any right to use them. You may use the names "Blockspace" and "Blockspace Forum" to refer accurately to the Forum and its work, but you must not use them in a way that states or implies that Blockspace or the Forum sponsors, endorses or is affiliated with you or your products, services or events, without Blockspace's prior written consent.

G. Feedback

If you give Blockspace suggestions or feedback about the Features or the Forum, Blockspace may use them for any purpose without any obligation to you.

H. Infringement Notices

If you believe that any Content infringes your rights, please contact Blockspace using the details in Section VIII.

IV. Limited Warranty

  1. You acknowledge and agree that except as set forth in these Terms, the Features are provided on an "as is" and "as available" basis with faults and without warranty of any kind.
  2. Blockspace makes no representation or warranty that the Features will comply with any obligations that User may have under any applicable Laws, rules, regulations, or similar obligations and Blockspace shall not have any liability or be responsible for any damages, liabilities, losses, costs, out-of-pocket costs or expenses (including attorneys' fees), whether direct, indirect, special, incidental, consequential, punitive or otherwise of any kind arising out of, in connection with or relating to the User's compliance with any obligations under any applicable laws, rules, regulations, or similar obligations. Without limiting the foregoing, Blockspace does not represent or warrant that (i) the Features will be error free, uninterrupted or available at all times; or (ii) that the Features will remain compatible with, or operate without interruption on, any equipment provided by User.
  3. User acknowledges and agrees that technical problems may prevent Blockspace from providing all or any part of the Features. Blockspace makes no warranties and the User receives no warranties, whether express, implied or statutory, regarding or relating to the Features and Blockspace hereby specifically disclaims, overrides and excludes to the fullest extent permitted by Law, all implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and all other warranties, conditions, other contractual terms, representations, indemnities and guarantees with respect to the Features, whether express, implied or statutory, arising by Law, custom, prior oral or written statements by Blockspace or any of its agents or affiliates or otherwise (including but not limited to, as to title, satisfactory quality, accuracy, completeness, uninterrupted use, noninfringement, timeliness, truthfulness, sequence and any implied warranties, conditions and other contractual terms arising from transaction usage, course of dealing or course of performance).

V. Indemnity

You will indemnify and hold harmless Blockspace, our affiliates and service providers, and their respective shareholders, officers, directors, employees and agents, and the authors of, and speakers featured in, the Content (together, the "Released Parties"), from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your misuse of the Features, (ii) your violation of these Terms and (iii) your violation of any applicable law or the rights of any third party.

VI. Limitation of Liability

  1. You acknowledge and agree that none of the Released Parties shall, to the fullest extent permitted by law, have any liability in or be responsible for any damages, losses, costs, out of pocket costs or expenses (including attorneys' fees), whether direct, indirect, special, incidental, consequential, punitive or otherwise of any kind (including, without limitation, any loss of revenue, loss of actual or anticipated profits, loss of contracts, loss of the use of money, loss of anticipated savings, loss of business, loss of opportunity, loss of goodwill, loss of reputation, or loss of, damage to or corruption of data), in each case arising under or related to claims of breach of contract, tort, including negligence, strict liability, negligent misstatement, restitution, breach of statutory duty or any other cause of action whatsoever with respect to these Terms, the Features (including any reliance on the Content), or any other matter contemplated hereby.
  2. Subject to Section VI.E and without limiting the foregoing, User acknowledges and agrees, that none of the Released Parties shall be held liable for: any loss or theft of digital assets including, but not limited to private keys; missed slots, lost rewards, penalties or slashing; transaction errors done by the User; late execution or settlement of any transaction whatsoever; the incorrect booking of transactions or the presence of an error in ordering the booking of transactions in a blockchain; any security breach or weakness, bug, of any kind for a digital asset; any security breach or weakness, bug, of any kind in the technology stacks used including but not limited to programming languages and open-source libraries; any configuration or installation errors by the User.
  3. Blockspace makes no warranties or representations, express or implied, about linked Third Party Services, assets available through them, or the suitability, privacy, or security of their products or services. User acknowledges sole responsibility for and assumes all risk arising from the use of Third Party Services, third-party websites, applications, or resources. Blockspace shall not be liable for damages arising out of or in any way related to software, products, services, and/or information offered or provided by third-parties and accessed through any of the Features.
  4. If, despite Sections VI.A to VI.C, any Released Party is liable to you, the total aggregate liability of all Released Parties to you for all claims arising from or relating to the Features or these Terms is limited to US$100.
  5. Nothing in these Terms excludes or limits any liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer, you might have rights under the laws of the place where you live that cannot be changed by contract, and these Terms do not affect those rights.

VII. Governing Law and Forum Choice

These Terms and any action related thereto will be governed by the laws of the Cayman Islands without regard to its conflict of laws provisions. The exclusive jurisdiction for all disputes will be in the courts of the Cayman Islands, and you and Blockspace each waive any objection to such jurisdiction and venue. Blockspace may nevertheless seek injunctive or other interim relief in any court of competent jurisdiction. If you are a consumer, this Section VII does not deprive you of any right under the laws of the place where you live to bring proceedings in the courts of that place.

VIII. Notices

Blockspace may provide any notices to you under these Terms using commercially reasonable means, including public communication channels. Notice provided by using public communication channels will be effective upon posting.

IX. Assignment

Blockspace may freely assign, transfer, or delegate its rights, obligations and liabilities under these Terms to the maximum extent permitted by applicable law. You must not assign or transfer any of your rights or obligations under these Terms without Blockspace's prior written consent.

X. Severability

Should any part or provision of these Terms be held to be invalid by any competent court, governmental or administrative authority having jurisdiction, the other provisions of these Terms shall nonetheless remain valid. In this case, the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while best reflecting its original economic intent. If the provision cannot be so modified, it shall be severed. The same shall apply if and to the extent that these Terms are found to contain any gaps or omissions.

XI. No Waiver

No failure on the part of you or Blockspace to exercise any power, right, privilege or remedy under these Terms, and no delay on the part of you or Blockspace in exercising any power, right, privilege or remedy under these Terms, shall operate as a waiver of such power, right, privilege or remedy; and no single or partial exercise of any such power, right, privilege or remedy shall preclude any other or further exercise thereof or of any other power, right, privilege or remedy. Neither you nor Blockspace shall be deemed to have waived any claim arising out of these Terms, or any power, right, privilege or remedy under these Terms, unless the waiver of such claim, power, right, privilege or remedy is expressly set forth in a written instrument duly executed and delivered on behalf of you or Blockspace; and any such waiver shall not be applicable or have any effect except in the specific instance in which it is given.

XII. Force Majeure

Blockspace shall not incur any liability or penalty for not performing any act or fulfilling any obligation hereunder by reason of any occurrence that is not within its control (including any provision of any present or future law or regulation or any act of any Governmental Authority, any act of God or war or terrorism, or the unavailability, disruption or malfunction of the Internet, the World Wide Web or any other electronic network, the Ethereum Network, or any aspect thereof, or any consensus attack, or hack, or denial-of-service or other attack on the Ethereum Network or any aspect thereof). It being understood that Blockspace shall use commercially reasonable efforts, consistent with accepted practices in the industries in which Blockspace operates, as applicable, to resume performance as soon as reasonably practicable under the circumstances.

XIII. Privacy

A. Information Collected Through the Website

The website stores a small item in your browser's session storage to remember whether you have dismissed a site banner. That item stays on your device and is not sent to Blockspace.

B. Third-Party Collection

GitHub, which hosts the website, might collect technical information such as your IP address when you visit the website. YouTube might collect information when the website displays a video thumbnail or when you play an embedded video. Their collection and use of that information is governed by their own privacy policies.

C. Contacting Blockspace

If you contact Blockspace, Blockspace uses the personal information you provide to respond to you and for related administrative purposes.

XIV. General

A. Separate Agreements

If you have a separate written agreement with Blockspace or any of its affiliates (for example, a services, contributor or confidentiality agreement), that agreement governs the matters it covers and prevails over these Terms to the extent of any conflict. These Terms do not amend or supersede any separate agreement.

B. Third-Party Rights

Each Released Party may enforce Sections II, IV, V and VI under the Contracts (Rights of Third Parties) Act, 2014 of the Cayman Islands. Except as set out in this Section XIV.B, no person other than you and Blockspace may enforce any provision of these Terms. The consent of a Released Party is not required to vary or rescind these Terms.

C. Survival

Sections II, III, IV, V, VI, VII and XIV survive any suspension or termination of your access to the Features.

D. Interpretation

Headings are for convenience only and do not affect the interpretation of these Terms. "Including" means "including without limitation".
